Registration of amendments to the Articles of Association of Budimex S.A.
In reference to report No 35/2023 of 18 May 2023, the Management Board of Budimex S.A. informs that on 22 June 2023 the District Court for the capital city of Warsaw, 13th Commercial Division of the National Court Register, registered amendments to the Company’s Articles of Association made on the basis resolution No 481 of the Ordinary General Meeting of 18 May 2023. Consequently, § 16 of the Company’s Articles of Association was amended, through the addition of section 3a and section 7a. § 16 section 3a of the Company’s Articles of Association is worded follows: “Meetings of the Board shall be convened by the Chairman of the Board, and where he/she is unable to do so, by the Vice-Chairman or the Secretary acting in his/her stead. The meeting shall be conducted by the Chairman of the Board, and in his/her absence, by the Vice-Chairman or a Member designated by the Board.” § 16 section 7a the Company’s Articles of Association is worded follows: “The Management Board shall provide the Supervisory Board at its meetings with material information concerning the Company, as well as material information held by the Management Board concerning the Company’s subsidiaries, unless the Supervisory Board requests by resolution that information on a specific matter be provided by the Management Board between meetings of the Supervisory Board. The Management Board shall provide information to the Supervisory Board in any form, unless the Supervisory Board, in a resolution, determines the form of provision of information. The application of Article 380 (1) from § 1 to § 4 of the Code of Commercial Companies shall be excluded.” The other provisions of the Articles of Association of Budimex S.A. remain unchanged.
